In F3? That’s actually a standard OOB rule that you can’t upgrade ICs on non-original territories to be major ICs.
“Major industrial complexes can be built only in originally
controlled (not captured) territories with an IPC value of
3 or higher. Minor industrial complexes can be built only
in territories with an IPC value of 2 or higher.”You can just spend the cash on something else if you want and edit it in.
Regarding “India”, are you bringing all battleships and cruisers? And are you attacking the transport?
